Corporate Opportunity - Application

Application

The corporate opportunity doctrine does not apply to all fiduciaries of a corporation; rather, it is limited to directors, officers, and controlling shareholders. The doctrine applies regardless of whether the corporation is harmed by the transaction; indeed, it applies even if the corporation benefits from the transaction. The corporate opportunity doctrine only applies if the opportunity was not disclosed to the corporation. If the opportunity was disclosed to the board of directors and the board declined to take the opportunity for the corporation, the fiduciary may take the opportunity for him- or herself. When the corporate opportunity doctrine applies, the corporation is entitled to all profits earned by the fiduciary from the transaction.

Famous quotes containing the word application:

Most people, no doubt, when they espouse human rights, make their own mental reservations about the proper application of the word “human.”
    Suzanne Lafollette (1893–1983)

    May my application so close
    To so endless a repetition
Not make me tired and morose
    And resentful of man’s condition.
    Robert Frost (1874–1963)

Great abilites are not requisite for an Historian; for in historical composition, all the greatest powers of the human mind are quiescent. He has facts ready to his hand; so there is no exercise of invention. Imagination is not required in any degree; only about as much as is used in the lowest kinds of poetry. Some penetration, accuracy, and colouring, will fit a man for the task, if he can give the application which is necessary.
    Samuel Johnson (1709–1784)
